Terms of Service

1. Introduction

These Terms of Service govern your access to and use of the Team Pay platform operated by Williams Stanley & Co Limited. By accessing or using the service, you agree to be bound by these terms.

2. Eligibility and Account Registration

You must be a business user to access Team Pay. You are responsible for maintaining the confidentiality of your login credentials.

3. Use of the Platform

You agree to use Team Pay in compliance with all applicable laws. You must not misuse the platform, attempt unauthorised access, or use it to process unlawful content or data.

4. Intellectual Property

All rights, title, and interest in and to the platform, including software, content, and trademarks, remain with Williams Stanley & Co Limited. You may not copy, modify, or distribute any part of the platform without written consent.

5. Payment and Fees

Where applicable, usage of the platform may be subject to subscription fees. These will be detailed in your client agreement or order form. Late payments may incur interest or suspension of services.

6. Data Processing

You retain ownership of personal data you provide through Team Pay. We process such data solely as your data processor under our Data Processing Addendum.

7. Service Availability

We aim for 99.9% uptime but do not guarantee uninterrupted service. Planned maintenance will be notified in advance where possible.

8. Limitation of Liability

We are not liable for indirect or consequential loss. Our total liability under these terms will not exceed the total fees paid in the preceding 12 months.

9. Termination

Either party may terminate with written notice. On termination, access will cease and data will be returned or deleted per your instructions.

10. Governing Law

These terms are governed by and construed in accordance with the laws of England and Wales. Any disputes will be subject to the exclusive jurisdiction of the English courts.
